License Agreement

WorldViz and Vizard are either registered trademarks or trademarks of WorldViz, in the USA and/or other countries. All other brand names, product names, or trademarks belong to their respective holders. © 2008 WorldViz. All rights reserved.

 

VIZARD SOFTWARE END USER LICENSE AGREEMENT

 

THIS SOFTWARE LICENSE AGREEMENT (the "Agreement") is made and executed, by and between WORLDVIZ INC., a Delaware Corporation ("Licensor"), and the party executing this Agreement as the "LICENSEE" below ("Licensee"), with respect to the following facts:

 

RECITALS

Licensor is the owner of that certain Software program commonly identified as "Vizard" (the "Software"), and the parties have agreed to execute this Agreement to memorialize certain nonexclusive license rights that Licensor is granting to Licensee with respect to the Software.

 

1. AGREEMENTS

1.1 Grant of Limited License

In consideration of Licensee’s acceptance of the terms and conditions of this Agreement, and subject to the limitations set forth in Section 2, below, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use and execute the Software, without any right to sublicense the Software. Concurrently with Licensee's execution of this Agreement, Licensor shall deliver to Licensee one (1) copy of the Software in Object Code format.

 

2. USE RESTRICTIONS

2.1 FREE Perpetual License

If you have downloaded the Vizard Free Version from the WorldViz website, then the Software or the executables created with the Software may be used only for personal and evaluation purposes. Under no circumstances may the Software or the executables created with the Software be used for commercial or academic purposes. Licensee further agrees not to modify, reverse engineer, decompile or disassemble any portion of the Software.

 

2.2 LITE Perpetual License

If you have purchased the Vizard LITE Version from the WorldViz website or directly from WorldViz or one of its Resellers, then the Software or the executables created with the Software may be used for personal or academic purposes. Under no circumstances may the Software or the executables created with the Software be used for commercial purposes. Licensee further agrees not to modify, reverse engineer, decompile or disassemble any portion of the Software.

 

2.3 Academic Discounted Perpetual License

To qualify for an Academic Discounted Perpetual License, you must be affiliated with a recognized school or university. The Software may be used only on one workstation and only for academic purposes. Under no circumstances may the Software or the executables created with the Software be used for commercial purposes. Licensee further agrees not to modify, reverse engineer, decompile or disassemble any portion of the Software.

 

2.4 DEV (Development) Commercial Perpetual License

If you have purchased the Vizard Commercial Development Version from WorldViz, then the Software may be used only on one workstation. Executables created with the Software may be distributed royalty-free for non-commercial purposes only. Licensee further agrees not to modify, reverse engineer, decompile or disassemble any portion of the Software.

 

2.5 ENT (Enterprise) Commercial Perpetual License

If you have purchased the Vizard Commercial Enterprise Version from WorldViz, then the Software may be used only on one workstation. One license of Vizard Enterprise is required per GPU card. Executables created with the Software may be distributed royalty-free for commercial purposes if your company currently makes less than US$2,500,000 in annual gross revenues. However, if your company currently makes more than US$2,500,000 annual gross revenues, then you agree to pay WorldViz a royalty equal to 3% of all worldwide gross revenue actually attributable to all Vizard built products, regardless of whether that revenue is received by you or any other person or legal entity.

During the period of commercial distribution of EXEs, you are required to have a current Gold Support contract. Licensee further agrees not to modify, reverse engineer, decompile or disassemble any portion of the Software.

 

3. OTHER AGREEMENTS

3.1 Ownership of Proprietary Rights

Licensee acknowledges and agrees that Licensor is the sole owner of all rights to the Software, including but not limited to all copyrights, patent rights, and trademarks. Licensee shall not develop separate Software applications of any kind derived from the Software, any user documentation provided with the Software, or any other proprietary information of Licensor. Licensee shall not attempt or assist others in attempting to copy, modify, disassemble, or reverse engineer the Software. Licensee shall maintain Licensor’s trademark and copyright notices on all documentation pertaining to the Software, and shall reproduce such notice on any copies in whole or in part of the Software.

 

3.2 Disclaimer of Warranties

The Software is provided to Licensee "AS IS" and without any warranty of any kind, whether express, statutory, implied or otherwise, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement. In no event shall Licensor be liable to Licensee for any special, consequential, incidental or indirect damages of any kind (including without limitation the cost of cover, damages arising from loss of data, use, profits or goodwill, or property damage).

 

3.3 Maintenance

No maintenance or support is available for the Software other than what is published in the on-line documentation at http://www.worldviz.com. Licensor shall have no obligation to publish at such web site or otherwise distribute any documentation pertaining to the Software.

 

4. TERMINATION OF AGREEMENT

4.1 Termination

This Agreement shall terminate if Licensee (a) breaches any term or condition of this Agreement and fails to cure such breach within 30 days of receiving written notice of such breach, or (b) becomes the subject of a voluntary or involuntary petition in bankruptcy or any proceeding relating to insolvency, receivership, liquidation, or composition for the benefit of creditors, if that petition or proceeding is not dismissed with prejudice within 30 days after filing.

 

4.2 Effect Of Termination

Upon termination of this Agreement, (a) Licensee's rights under this Agreement shall terminate, (b) Licensee shall return to Licensor all copies of the Software in the possession or control of the Licensee, including programs, documentation, and data base files supplied or created pursuant to this Agreement, and (c) each party shall retain all rights and remedies with respect to all breaches of this Agreement occurring prior to such termination and all claims arising from the breach that occasioned termination.

 

5. Miscellaneous

This Agreement contains the entire understanding of the parties, and supersedes all prior and contemporaneous understandings, whether oral or written, and may not be modified or amended except by a written instrument executed after the Effective Date by the party sought to be charged by such modification or amendment. This Agreement shall be governed by and construed in accordance with California law. The exclusive venue for all disputes arising under or in connection with this Agreement or the use of the Software shall be the Superior Court in and for Santa Barbara County, California. If any action or proceeding is commenced to construe or enforce this Agreement or the rights and duties arising hereunder, then the party prevailing in that action or proceeding shall be entitled to recover all costs, expenses, and attorneys' fees incurred therein. Licensee may not assign or delegate its duties hereunder without the prior express written consent of Licensor, which may be withheld in the absolute discretion of Licensor. The provisions of this Agreement are severable, and if any one or more provisions hereof is determined by a court or arbitrator of competent jurisdiction to be unenforceable, in whole or in part, then the remaining provisions hereof shall remain binding upon and enforceable by both parties.

CyberVRML97
CyberVRML97 for C++ is provided "AS IS".

sell, import and otherwise transfer the Contribution of such
Contributor, if any, in source code and object code form. This patent
license shall apply to the combination of the Contribution and the
Program if, at the time the Contribution is added by the Contributor,
such addition of the Contribution causes such combination to be

any other combinations which include the Contribution. No hardware per
se is licensed hereunder. 

c) Recipient understands that although each Contributor grants

If Recipient institutes patent litigation against a Contributor with

counterclaim in a lawsuit), then any patent licenses granted by that
Contributor to such Recipient under this Agreement shall terminate as
of the date such litigation is filed. In addition, if Recipient
institutes patent litigation against any entity (including a
cross-claim or counterclaim in a lawsuit) alleging that the Program
itself (excluding combinations of the Program with other software or
hardware) infringes such Recipient's patent(s), then such Recipient's
rights granted under Section 2(b) shall terminate as of the date such
litigation is filed.

All Recipient's rights under this Agreement shall terminate if it
fails to comply with any of the material terms or conditions of this
Agreement and does not cure such failure in a reasonable period of
time after becoming aware of such noncompliance. If all Recipient's
rights under this Agreement terminate, Recipient agrees to cease use
and distribution of the Program as soon as reasonably practicable.
However, Recipient's obligations under this Agreement and any licenses
granted by Recipient relating to the Program shall continue and
survive.

Everyone is permitted to copy and distribute copies of this Agreement,
